1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement. By using Prozen AI, you confirm that you meet these criteria.

2. Service Overview

Prozen AI is an AI-powered proposal generation tool operated by Vibrant-Info. Users must configure their company or project details and provide the required requirement document or project brief. Based on this input, the platform automatically generates a customized proposal (RFQ) tailored to the user's specifications. Prozen AI is offered as a subscription-based software-as-a-service (SaaS). We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.

3. Account Registration

• You must create an account to use Prozen AI.
• You are responsible for maintaining the confidentiality of your login credentials.
• You agree to provide accurate and complete information during registration and to update it as needed to keep it current and accurate.

4. Subscription and Payment

• Prozen AI is offered through paid subscriptions. Pricing, billing cycles, and available features are published on our website or within the platform.
• Subscriptions automatically renew unless canceled before the renewal date.
• All payments are non-refundable unless otherwise stated in these Terms or required by applicable law.

5. Acceptable Use

You agree to use Prozen AI only for lawful purposes. You must not:

• Use the platform to generate or transmit misleading, fraudulent, or illegal content.
• Reverse-engineer, decompile, or attempt to gain unauthorized access to the Service.
• Upload viruses, malware, or other malicious code.
• Infringe upon or violate the intellectual property rights of Prozen AI or any third party.

6. Cancellation and Refund Policy

Prozen AI subscriptions are generally non-refundable. However, we may consider refund requests on a case-by-case basis if:

1. A. Eligibility for Cancellation and Refund:

   Subscribers who have not utilized any services, nor generated proposals, or accessed any features of the platform, are eligible to request a cancellation of their subscription.

   You experience technical issues that prevent you from using the Service and our support team cannot resolve the issue within a reasonable timeframe.

   You are mistakenly charged for a subscription you did not intend to purchase.

2. B. Request for Cancellation:

   Cancellation requests must be submitted at hello@prozen.ai within 7 (seven) days from the date of subscription.

3. C. Refund Process:

   • The subscriber must provide all necessary details to verify the subscription and usage status.
   • Approved refunds will be processed via the original payment method used at the time of subscription.
   • Refunds will be initiated within 10 business days from the date of approval.
   • Refunds may take additional time depending on the payment provider.

4. D. Non-Refundable Cases:

   • If the subscriber has used any part of the service, generated proposals, or accessed platform features, no refund will be provided.
   • Cancellations made after the 7-day period or after service usage are not eligible for refunds.

5. E. Miscellaneous:

   • The company reserves the right to verify usage status before processing refunds.
   • This policy is subject to change, and subscribers are encouraged to review it periodically.

7. Intellectual Property

All content, branding, and software provided by Prozen AI (excluding user input) is owned by or licensed to us and protected by copyright, trademark, and other intellectual property laws.

You retain full ownership of the data, requirement documents, and project information you provide to Prozen AI, as well as the proposals generated for you. We do not claim any ownership rights over your generated proposals. You grant us the right to process and use your input solely for the purpose of generating proposals and improving the Service.

8. Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal data.

9. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion, with or without notice, if you violate these Terms or misuse the platform.

Upon termination, your access to data may be revoked. You are responsible for exporting your data before cancellation or termination.

10. Disclaimers

The Service is provided “as is” without warranties of any kind.

You acknowledge that the quality, accuracy, and completeness of the generated proposals depend entirely on the information and documents you provide. We do not guarantee that proposals generated by Prozen AI will be legally, commercially, or technically sufficient for any specific project or purpose.

We are not liable for any business losses, indirect, or consequential damages arising from your use of the platform.

11. Limitation of Liability

To the maximum extent permitted by law, our total liability is limited to the amount you have paid to use the Service in the 12 months prior to the claim.

12. Changes to Terms

We may update these Terms from time to time. We will notify users by email or via the platform if significant changes occur. Continued use of the Service after any changes means you accept the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of India, specifically the laws of the State of Karnataka, without regard to its conflict of law provisions. Any disputes arising from or relating to the Service shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.
